Terms of Service

1. Acceptance of Terms

By accessing or using the Codexomation website (codexomation.com) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Services

Codexomation provides UI/UX design, web design, web development, AI automation, branding, and related digital services to clients. All engagements are governed by a separate Statement of Work (SOW) or service agreement signed by both parties, which takes precedence over these general terms.

3. Intellectual Property

Upon full payment of all invoiced amounts, Codexomation transfers ownership of the final deliverables to the client. Codexomation retains the right to display work in its portfolio unless otherwise agreed in writing. All pre-existing tools, frameworks, and proprietary methodologies used in delivery remain the property of Codexomation.

4. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. Codexomation does not disclose client information, business data, or project details to third parties without written consent. NDA agreements are available upon request at no additional cost.

5. Payment Terms

Payment terms are specified in each project agreement. Typically, projects require a deposit before work begins and milestone payments throughout delivery. Late payments may result in work pausing until outstanding invoices are settled.

6. Limitation of Liability

Codexomation's liability for any claim arising from our services is limited to the total fees paid by the client for the specific project giving rise to the claim. We are not liable for indirect, incidental, or consequential damages including lost profits or business interruption.

7. Website Use

The content on codexomation.com is provided for informational purposes only. You may not reproduce, distribute, or commercially exploit any content without written permission. Unauthorized use of our brand, logo, or content is prohibited.

8. Governing Law

These Terms are governed by the laws of the State of California, USA. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in San Francisco, California, unless both parties agree otherwise in writing.
